BRIGHTIDEAS365 BUSINESS PROGRAMMES TERMS AND CONDITIONS

THE PARTIES
‘The Company’ shall mean Bright Ideas 365 Ltd.

‘Businesses’ and ‘The Business’ refers to sole traders, partnerships, and companies, that join the Brightideas365 business programme in order to raise funds for an appropriate not-for-profit organisation.

AGREEMENT
By participating in any Brightideas365.com programmes for business, businesses are agreeing to be bound by the following terms and conditions (“Terms of Service”).

Hereafter any organisation other than Bright Ideas 365 Ltd that is party to this agreement, shall be referred to as ‘the business’ or the plural ‘businesses’.

Violation of any of the terms below may result in the termination of our services. However subscriptions taken out using a beneficiary code will continue to pay the third-party cause nominated by the business during the full life on that subscription. You agree to use the Brightideas365.com programmes at your own risk.

DISCOUNTS AND DEALS
Deals must be genuine offers that are not generally available to all store or website visitors (standard or sale prices, etc.). There is no charge for listing these on our website, and no limit on the amount of offers that can be run. Suitable offers include:

  • Discounts.
  • Free products including samples and buy one get one frees.
  • Free gifts.
  • Bulk discounts.

Conditions such as a minimum spend are perfectly acceptable, however deals must not require an unreasonable amount of work or expenditure to redeem them. 

Bright Ideas 365 Ltd (‘the company’) reserves the right to refuse any offer without explanation. Offers on tobacco products and gambling activities are not acceptable under any circumstances. Promotions involving alcoholic products are acceptable (at the discretion of the company).

FEATURES
Businesses may send in press releases and features for publication free of charge. All features are however, accepted at the discretion of the editor.

Editorial content must not be ‘advertising’ copy. It must not contain branding or company taglines in the body of the text, however the company name or product may be mentioned using a brand name a maximum of twice.

It must be factual and not use emotive language, for example a beach can be described as ‘wide and sandy,’ but not ‘sun drenched’, a car may be described as ‘innovative’ (as long as it is), but not ‘handling like a dream’. Content may be edited of rejected where this is contravened.

Features  may include a ‘supplied by’ credit between the title and main body of text, as well as one or more pictures. A logo and/or a hyperlink may be displayed below the main body of the text (provide details in the ‘notes’ area of the upload form). There is no limit to how many features or news items can be submitted for publication. Subjects may include:

  • The history of your company or brand.
  • The history of your product.
  • Professional advice and information (including financial and legal).
  • A profile of your founder.
  • A day in the life of a staff member.
  • A charity project you support.

The following are excluded:

  • Advertising of a product or service.
  • Features that may worry, offend, or upset our subscribers.
  • Features promoting a clear political or religious bias or doctrine.

Also remember that Brightideas365 is about positive and uplifting news and features and your submission must reflect this in order to be published.

SPONSORSHIP
The Brightideas365.com website itself, and individual sections within it are available for sponsorship. There is a charge for this, but it includes:

  • On site branding.
  • Branded competitions.
  • Sector exclusivity.
  • Potential for joint promotion via our network of community beneficiaries.

DISPLAYING BRIGHTIDEAS365.COM POSTERS IN BUSINESS PREMISES
Businesses may download and display one or more of the official downloadable Brightideas365.com posters in public view. They may not alter or amend them for display, save for adding the name of the beneficiary and the unique beneficiary code of the good cause (where applicable).

Businesses may request a beneficiary code for that can be added to their poster. This is not necessary (the name of the charity can be put on the poster) but it does speed the payment process and mean that the business can be issued with quarterly statements of the amount raised for their customers. Where a code is supplied, Bright Ideas 365 Ltd undertakes to make quarterly statements on the sales made using those codes available.

Businesses will be solely responsible for the, downloading, printing and positioning of printed material on their premises. There are no restrictions on the amount or positioning of printed material, save for where this would violate other conditions as stated herein.

Businesses will also be responsible for ensuring that the display of material does not violate any agreement between themselves and any third party (including without limitation any restrictions or requirements placed on them by a third party).

Where information is added to printed material (downloadable posters, for example), businesses must ensure that this specifies only the name of the beneficiary cause and (where applicable) the beneficiary code given to that business, and that materials added do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights).

SUBSCRIPTIONS AND LIABILITY
All subscriptions form a contract between Bright Ideas 365 Ltd (the operator of Brightideas365.com) and the subscriber. Businesses promoting Brightideas365.com and beneficiary causes have no liability with regard to this.

No charge must be made at any time by businesses for access to Brightideas365 subscriptions or services.

AMENDMENTS
Bright Ideas 365 Ltd (t/a Brightideas365.com) reserves the right to update and amend the Terms of Service from time to time without notice. Any new features that augment or enhance the current programme, including the release of new features, tools and resources, shall be subject to the Terms of Service. Continued use of the programme after any such changes shall constitute your consent to such changes.

GENERAL CONDITIONS
Representatives

  • Representatives of businesses must be 18 years or older to participate in Brightideas365.com programmes.
  • Representatives of businesses must be legally resident in the United Kingdom, and organisations must be UK based, or have significant corporate presence within the UK.
  • Representatives must provide their legal full name, a valid email address, and position within the organisation upon request.
  • Representatives and organisations may not use Brightideas365 programmes for any illegal or unauthorised purpose. They must not, in the use of the programme, violate any laws in their jurisdiction (including but not limited to copyright laws).
  • Representatives and organisations may not use the programme or the Brightideas365.com brand to earn money for any for-profit organisation or individual. 
  • Businesses must not attempt to take payment for subscriptions or accept if offered.

Links/graphics on your website, in your emails, or other communications
Having received a beneficiary code, businesses are permitted to place links, banners, or other graphics we provide onto their website, emails, or other communications. Guidelines, link styles, and graphical artwork to use in linking to Brightideas365.com can be downloaded from the Brightideas365.com website where available. Bright Ideas 365 Ltd may change the design of the artwork at any time without notice, but dimensions of the images will not be altered without proper notice.

The beneficiary code is provided for the sole purpose of promoting Brightideas365.com to the public and may not be used for any other purpose without written permission from Bright Ideas 365 Ltd.

All website links should point to the web page specified by Bright Ideas 365 Ltd.

Representation
No business may in any manner misrepresent or embellish the relationship between themselves and Brightideas365.com or Bright Ideas 365 Ltd. They must not state or imply that they develop our products, state or imply that they are part of or the owners of Brightideas365.com (or Bright Ideas 365 Ltd), or state or imply any relationship or affiliation between Brightideas365.com and any other person or entity except as expressly permitted by this agreement.

Businesses will be solely responsible for representation of the above on their website, social media, emails, etc.

Customer definition
Individuals who buy subscriptions to Brightideas365.com through this programme will be deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this programme in accordance with our own pricing policies. Subscription prices and availability may vary from time to time. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular subscription.

Compliance with Laws
As a condition of participation in our programme, businesses agree that while they are a participant they will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgements, decisions or other requirements of any governmental authority that has jurisdiction over them, whether those laws, etc. are now in effect or later come into effect during the time they are a programme participant.

Without limiting the foregoing obligation, businesses agree that as a condition of participation in the programme they will comply with all applicable laws that govern marketing email, including without limitation, the GDPR regulations and all other anti-spam laws.

Term of the agreement and programme
The term of this agreement will begin upon the commencement of the display of posters, acceptance of an offer for publication, placement of order for sponsorship, or order for advertising space. This will end when terminated by either party. Either the business or Bright Ideas 365 Ltd may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, businesses will immediately cease use of, and remove from their premises, website, etc. all references to Brightideas365.com links to https://brightideas365.com, and all Bright Ideas 365 Ltd trademarks, logos, and devices, as well as all other materials provided by or on behalf of the company to you pursuant hereto or in connection with any Brightideas365 programmes. Brightideas365.com reserves the right to end such programmes at any time. 

Termination
Bright Ideas 365 Ltd, at its sole discretion, has the right to suspend or terminate all current or future use of the Programme, or any other Brightideas365.com service, for any reason at any time.

Where it is found that the promotion and selling of subscriptions used fraudulent, illegal, or overly aggressive, questionable sales or marketing methods, participation in the programme will be terminated with immediate effect. Such termination will result in the deactivation or deletion of the relevant programme data and access to this. 

Relationship of Parties
Businesses and Bright Ideas 365 Limited are totally separate organisations, and nothing in Brightideas365 programmes will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Businesses will have no authority to make or accept any offers or representations on behalf of Bright Ideas 365 Ltd. Businesses will not make any statement, that reasonably would contradict any of the above.

Limitations of Liability
Bright Ideas 365 Ltd will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with participation in any of our programmes, even if we have been advised of the possibility of such damages. 

Disclaimers
Bright Ideas 365 Ltd makes no express or implied warranties or representations with respect to the programme or any products sold through the programme (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of Brightideas365.com will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent Investigation
Businesses acknowledge that their authorised representatives have read this agreement and agree to all its terms and conditions. It is understood that Bright Ideas 365 Ltd may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement with organisations that are similar to or compete with your own. Further, businesses acknowledge that they have independently evaluated the desirability of participating in the programme and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.

Miscellaneous
This programme will be governed by the laws of England and Wales, without reference to rules governing choice of laws. You may not reassign your participation, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this programme will not constitute a waiver of our right to subsequently enforce such provision or any other provision of the programme.

The failure of Brightideas365.com to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Brightideas365.com and govern your use of the Service, superceding any prior agreements between you and Brightideas365.com (including, but not limited to, any prior versions of the Terms of Service).
